Terms of Service

Thank you for using Flowi. These Terms of Service ("Terms") govern your access to and use of the Flowi website, platform, and services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

In these Terms, "Flowi," "we," "us," or "our" refers to Flowi Incorporated, and "you" or "your" refers to the individual or entity using the Services.

1. Overview of Services

Flowi provides AI-powered go-to-market tools that help users discover, enrich, and export professional contact and business information. Users can access:

• Business and professional profiles
• Lead lists generated through Flowi's platform
• Enrichment of user-uploaded lists via CSV or CRM integration
• Search, filtering, tagging, and analysis tools

We continue to improve and evolve the platform and may add or remove features or modify parts of the Services at any time without notice.

2. Accounts and Billing

To use most features of the Services, you must create an account and provide accurate, complete information. You are responsible for keeping your account credentials secure.

Flowi operates on a subscription and usage-based billing model. By signing up, you agree to be billed according to the selected plan. Subscription fees are non-refundable. You may cancel your subscription at any time, and your access will remain active until the end of the current billing cycle.

3. Data Usage and Ownership

3.1. User-Provided Data

If you upload lead lists or connect a CRM, you retain ownership of your own uploaded data. Flowi will access and store this data only to provide the Services to you.

3.2. Flowi-Generated and Enriched Data

Flowi retains ownership of any data it generates, enriches, or surfaces through the platform, including enrichment fields added to your uploaded records. You are granted a non-exclusive, royalty-free, perpetual license to use the enriched and platform-provided data solely for your internal business purposes. You may not sell, sublicense, or share this data with third parties without Flowi's prior written consent.

4. Acceptable Use

You agree not to:

• Use the Services to engage in unlawful or unethical marketing
• Sell, resell, or publicly share Flowi-generated or enriched data
• Scrape, copy, reverse engineer, or interfere with any part of the platform
• Create multiple accounts to bypass usage limits or billing rules
• Upload data you do not have the right to use
• Misrepresent your identity or impersonate others
• Attempt to gain unauthorized access to the platform or other users' accounts
• Use automated bots or scripts to interact with the Services outside of authorized API access (if available)

Violation of these rules may result in account suspension or termination.

5. User Content and Rights

You retain ownership of the content you upload to the platform. By submitting content, you grant Flowi a limited license to access, process, store, and display that content to provide the Services.

Flowi does not access or use your uploaded data for any purpose outside the scope of this agreement unless required by law.

6. Intellectual Property

All content, software, designs, features, and functionality in the Services are owned by Flowi or its licensors. You may not copy, reuse, or reproduce Flowi's content or platform features without our prior written consent.

You are welcome to submit product feedback or suggestions. By doing so, you grant Flowi the right to use that feedback without restriction or compensation.

7. Termination

You may cancel your account at any time. We reserve the right to suspend or terminate your access to the Services at our discretion if you violate these Terms or if required for legal or security reasons.

Upon termination, your access to Flowi-generated data will be disabled, and your subscription will not renew. You may continue to use previously downloaded data subject to the use restrictions in Section 3.

8. Modifications to Terms

We may revise these Terms periodically. Material changes will be communicated via email or posted on the platform. Your continued use of the Services after changes take effect constitutes your acceptance.

9. Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and store data. By using Flowi, you consent to our privacy practices.

10. Disclaimers and Limitation of Liability

The Services are provided "as is" without warranties of any kind. Flowi makes no guarantees regarding the availability, accuracy, or completeness of the data provided.

To the fullest extent permitted by law, Flowi is not liable for any indirect, incidental, consequential, or punitive damages, or for loss of profits, revenue, or business opportunities. Our total liability to you will not exceed the greater of (a) the amount you paid in the last three months or (b) CAD $100.

11. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved exclusively in the courts of Ontario, Canada.
